1. Definitions

• Service: The accounting software, including all features, modules, reports, APIs, and related services.
• User: Any individual or entity accessing the Service.
• Customer Data: Financial, accounting, transactional, or business data uploaded or generated by the User.
• Subscription: A paid or free plan granting access to the Service.

2. Scope of Service

JV+ Accounting provides tools for accounting, bookkeeping, invoicing, expenses, reporting, and related financial management functions.

The Service:

• Does not provide legal, tax, audit, or regulatory advice.
• Does not replace professional accountants, auditors, or tax advisors.

Users are solely responsible for compliance with applicable accounting standards, tax laws, and statutory regulations.

3. Eligibility & Account Registration

• You must be legally capable of entering a binding contract.
• You must provide accurate and complete business and contact information.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activities performed under your account.

4. Subscription, Billing & Payments

• Certain features require a paid subscription.
• Fees are billed in advance on a recurring basis unless stated otherwise.
• Subscription fees are non-refundable, except where required by law.
• We reserve the right to change pricing with prior notice.
• Failure to pay may result in account suspension or restricted access.

5. Customer Data & Data Ownership

• You retain full ownership of your Customer Data.
• You grant us a limited license to host, process, and display Customer Data solely to provide the Service.
• We do not sell Customer Data to third parties.
• You are responsible for the accuracy, legality, and completeness of all data entered.

6. Data Security & Availability

We implement reasonable technical and organizational measures to protect Customer Data.

However:

• We do not guarantee uninterrupted access or error-free operation.
• Scheduled maintenance or unexpected outages may occur.
• Users are advised to maintain independent backups of critical financial data.

7. Acceptable Use Policy

You agree not to:

• Use the Service for illegal, fraudulent, or misleading activities
• Upload malicious code or attempt unauthorized access
• Manipulate financial records for unlawful purposes
• Reverse engineer or exploit the Service infrastructure

Violation may result in immediate suspension or termination.

8. Intellectual Property

All software, source code, interfaces, documentation, and branding are the exclusive property of JV+ Accounting.

You may not:

• Copy, modify, distribute, or sublicense the Service
• Use branding without written consent

9. Third-Party Integrations

The Service may integrate with third-party platforms (e.g., banks, payment gateways, tax services).

We are not responsible for:

• Third-party availability or accuracy
• Data handled by third-party services
• Losses caused by third-party failures

10. Disclaimer of Warranties

The Service is provided "as is" and "as available".

We disclaim all warranties, including:

• Accuracy of financial reports
• Compliance with specific tax or regulatory requirements
• Fitness for a particular business purpose

11. Limitation of Liability

To the maximum extent permitted by law, JV+ Accounting shall not be liable for:

• Indirect or consequential losses
• Loss of profits, revenue, or data
• Business interruption or incorrect financial decisions

Total liability shall not exceed the amount paid by you in the preceding 12 months.

12. Termination

We may suspend or terminate access if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or abusive activity

Upon termination:

• Access to the Service will cease
• Customer Data may be deleted after a retention period

13. Modifications to Service or Terms

We may update the Service or these Terms at any time. Continued use after changes constitutes acceptance of the updated Terms.

14. Governing Law & Jurisdiction

These Terms shall be governed by the laws of UAE. Courts located in Dubai, UAE shall have exclusive jurisdiction.
